These Terms of Service ("Terms") govern your access to and use of the Orii platform operated by Orii ("we", "us", or "our"). By accessing or using Orii, you agree to be bound by these Terms.

1. Access and Eligibility

Orii is currently in private beta and access is by invitation only. You may only use Orii if you have been granted access by us. Access may be revoked at any time at our discretion. You must be at least 18 years of age to use Orii.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately if you become aware of any unauthorised use of your account. We are not liable for any loss resulting from unauthorised access to your account.

You retain ownership of any content you upload to Orii, including transcripts, notes, and any other materials ("Your Content"). By uploading Your Content, you grant us a limited licence to store, process, and use it solely for the purpose of providing the service to you.

You are solely responsible for Your Content and represent that you have all necessary rights to upload and use it within the platform.

5. AI-Generated Content

Orii uses artificial intelligence to generate insights, drafts, and other content based on the information you provide. AI-generated content is provided for your review and use — you are responsible for verifying its accuracy and appropriateness before using or publishing it. We make no representations about the accuracy, completeness, or fitness for purpose of any AI-generated output.

6. Intellectual Property

The Orii platform, including its design, software, and underlying technology, is owned by us and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our name, trademarks, or other intellectual property except as expressly permitted.

Your use of Orii is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Service Availability

We will make reasonable efforts to keep Orii available, but we do not guarantee uninterrupted or error-free access. We reserve the right to modify, suspend, or discontinue the platform at any time, with or without notice. We are not liable for any loss resulting from interruption or discontinuation of the service.

9. Disclaimer of Warranties

Orii is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Orii shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the platform, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of these Terms shall not exceed the amount you paid us in the twelve months preceding the claim, or USD $100, whichever is greater.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of Orii, Your Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to Orii at any time, with or without cause, and with or without notice. Upon termination, your right to use the platform ceases immediately. Provisions of these Terms that by their nature should survive termination will do so.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by updating the date at the top of this page. Continued use of the platform after changes are posted constitutes your acceptance of the updated Terms.
